Dive Brief:
- Echo Global Logistics has entered into a definitive agreement to acquire ITS Logistics from GHK Capital Partners LP, the company announced Wednesday.
- Although the transaction price was not disclosed, the deal creates a transportation and logistics giant with 2025 pro forma revenues estimated at $5.4 billion, per the release. The transaction is expected to close during the first half of 2026.
- Joining with Echo elevates ITS Logistics’ service offerings, ITS Logistics CEO Scott Pruneau said. Echo's truckload brokerage scale, managed transportation platform, cross-border capabilities, broad multimodal offering and technology platform will create additional value for customers, he said.
Dive Insight:
The combination of the companies creates scale to help customers navigate the increasing complexity of today’s supply chain, Pruneau said in the release.
ITS Logistics, which was founded in 1999, will continue operating with its existing leadership team and customer-facing structure, according to the release. However, through the combination, ITS Logistics staff will benefit from access to Echo’s technology-enabled transportation and supply chain management services.
Doug Waggoner, CEO of Echo Global Logistics, said the acquisition represented a “meaningful strategic opportunity” for his company.
“ITS has built a highly differentiated set of solutions, including drop trailer and trailer pool capabilities, backed by best-in-class execution that delivers reliability and flexibility across complex networks,” he said.
ITS Logistics’ DropFleet program brings to the table an established drop trailer and trailer pool service. Its other capabilities include dedicated capacity as well as intermodal, drayage, freight security and omnichannel fulfillment.
Echo’s technology platform leverages automation, machine learning and artificial intelligence to support pricing, capacity sourcing and shipment execution. Integrating Echo’s technology with ITS Logistics is expected to improve network optimization, speed of response and real-time insight across trailer pools and dedicated operations, per the release.
“By applying Echo's proprietary technology, advanced analytics, and growing AI capabilities to the ITS solution set, we will strengthen our value proposition for a broader range of customers,” Waggoner said.
