Dive Brief:
- PlusAI filed a registration statement with the Securities & Exchange Commission on Oct. 9 for its planned merger with special purpose acquisition company Texas Ventures Acquisitions III Corp., announced last month. The combined company will trade under the symbol PXAI on Nasdaq.
- The deal values the autonomous trucking software developer at $800 million and — assuming no redemptions — it would generate about $266.6 million in cash to the company’s balance sheet. That’s down from an expected $1.2 billion valuation previously announced.
- PlusAI lost $93.4 million in 2025 and $61.1 million in 2024. Its first-half 2026 net lost narrowed to $7.9 million from $56.9 million a year earlier, according to the filing. That was helped by $25.1 million in revenue, mostly from a deal with Traton.
Dive Insight:
PlusAI expects more than $40,000 in annual revenue per truck, the filing shows, but says its profitability hinges on hitting commercialization milestones. The autonomous driving system, called SuperDrive, is expected to launch with trucks in the U.S. during the beginning of 2027 before expanding into Europe.
“If our assumptions about the commercialization and/or adoption of our technology prove overly optimistic we may fail to generate operating cash flow and may incur delays to our ability to achieve profitability,” the company said in the filing. “This may also lead us to make changes in our go-to-market plans, which could result in unanticipated delays or cost overruns, which could in turn adversely impact margins and cash flows.”
The company won’t build trucks or run fleets. Instead, its OEM partners will have their own per-mile Driver-as-a-Service fee, and PlusAI will have its separate Software-as-a-Service fee. The developer currently has agreements with Traton, Iveco and Hyundai.
The first-half revenue comes with caveats. Most of the revenue came from Traton’s Autonomy Acceleration Program agreement — worth up to $25 million for meeting certain performance milestones — and $7.2 million from reevaluating safenotes. PlusAI absorbed a $10.2 million write-off tied to a terminated SPAC deal in April. Once the merger closes, PlusAI expects to recognize about $34.4 million in stock-based compensation, which would widen its losses for the year.
The SPAC’s deadline to close the deal was Oct. 24, but shareholders approved an extension agreement Oct. 19, according to a SEC filing. Each monthly extension requires Texas Ventures Acquisition III Corp. to deposit $145,000 into its trust account. The SPAC made its first payment on Oct. 21 using a non-convertible promissory note from its sponsor, Yorkville Acquisition Sponsor II, pushing the deadline to Nov. 24.
Texas Ventures Acquisition III Corp has the option to extend the deal each month until July 24, 2027.
